Chapter 1 - General Provisions
1. Definitions
In these general terms and conditions, the following terms are defined as:
- Optimeister (we-form): the company defined in article 2 of these general terms and conditions, as well as its affiliated companies;
- Counterparty (you-form): the party who, by signing an Agreement or otherwise, has accepted the validity of these general terms and conditions;
- Third Party/Parties: persons not involved in the Agreement;
- Agreement / Assignment: any arrangement between Optimeister and Counterparty for the provision of Services by Optimeister to Counterparty;
- Written: communication by email, WhatsApp, mail, or physical document;
- Services: The streamlining of business processes through conceiving, designing, and developing digital solutions with No-Code Tools. This includes, but is not limited to, the following specific Services:
- Sprints: A time-bound period in which Optimeister executes a specific set of tasks or objectives within an Agile development methodology. This includes planning, execution, and evaluation of work within the agreed timeframe;
- Consulting: The service where Optimeister provides the Counterparty with advice, guidance, or support for specific projects. This includes strategic advice, operational guidance, and training in the use of no-code tools;
- Support: The service aimed at providing help, guidance, and solutions to Counterparty after the implementation of the digital solution. This includes technical support, problem-solving, and user inquiries through the agreed communication channels;
- No-Code Tools: The software applications that allow users without knowledge of traditional programming languages to create, manage, and use functional digital solutions. These tools use visual interfaces and drag-and-drop functionalities to simplify development processes, enabling organizations to efficiently develop and modify workflows, applications, and systems without the intervention of traditional software developers;
- Service Level Agreement: the Agreement between Optimeister and Counterparty that establishes specific arrangements regarding the Support that Optimeister will provide to Counterparty;
